Chicane Capital I Corp has closed a reverse-takeover merger with Elton Resources Corp, a private British Columbia mining company, in a transaction valued at approximately C$30.8 million. The combined company has taken on the name Elton Resources Corp.
Under the arrangement, Chicane acquired all of Elton’s securities through a three-cornered amalgamation, in which Elton merged into a wholly owned Chicane subsidiary under British Columbia’s Business Corporations Act. Elton shareholders received one share of the resulting company for each Elton share they previously held, leaving them with a majority stake in the newly combined entity.
How the Deal Was Structured
Ahead of the transaction, Chicane relocated its corporate jurisdiction from Ontario to British Columbia and carried out a share consolidation, exchanging 0.75 post-consolidation shares for each existing share. That left the company with roughly 4,491,000 shares outstanding prior to the issuance of new shares connected to the merger.
The closing follows a merger agreement dated May 26, 2026, which had been preceded by a series of announcements dating back to April.

A Common Path for Junior Miners
The deal allows Elton to reach public markets without pursuing a traditional initial public offering. Reverse takeovers remain a widely used route for junior mining companies seeking a public listing, as they allow a private firm to gain access to public investors through an existing shell company rather than launching a new IPO.
