Shareholders of PCI Geomatics Group Inc., which does business as CATALYST, have voted to approve an acquisition by Intermap Technologies, clearing a key hurdle in a deal that would combine the two geospatial intelligence companies.
Intermap, a Denver-based company that specializes in 3D geospatial data and AI-driven analytics, announced the shareholder approval after PCI held a special meeting on September 25, 2026, held both in person and via live webcast. The deal covers all outstanding PCI shares not already held by Intermap and is structured as a plan of arrangement under the Canada Business Corporations Act.
Overwhelming Shareholder Support
According to Intermap, the arrangement resolution passed with 99.99% of votes cast by PCI shareholders present in person or by proxy at the meeting, voting as a single class. Among holders of PCI common shares, excluding votes cast by certain company officers and directors, support also reached 99.99%. Holders of PCI’s Series B first preferred shares and special shares each voted unanimously, with 100% support recorded in both classes.
Patrick Blott, Chairman and CEO of Intermap, said the company was pleased to receive shareholder backing and called it an important milestone toward bringing the two companies together. He said the combination is intended to pair Intermap’s proprietary 3D data and geospatial intelligence capabilities with PCI’s advanced imagery processing technology to build a stronger platform for growth.

Court Approval and Timeline
The transaction still requires approval from the Ontario Superior Court of Justice (Commercial List). A hearing on the application for a final order was anticipated for September 28, 2026. Provided the court grants final approval and the remaining conditions set out in the arrangement agreement — dated July 28, 2026, among Intermap, PCI and Grenadier Investments Limited — are satisfied or waived, Intermap said it expects the deal to close in mid-October 2026.
